Purpose of the role:

Accountable to the Board and the CEO, the CRO is a pivotal leadership role in the Bank. The role sits
on the Executive Committee of the Bank, and holds the SMF4 regulatory authorisation providing
oversight and leadership of the internal audit, credit risk, operational risk, market risk and compliance
(incl. financial crime, regulatory compliance and conduct risk) functions of the Bank.
For ease of reference, any reference in this document to Risk should be read to include all the above
areas of responsibility.

Executive Committee Responsibilities:
• Working with the Executive Committee to develop and implement the strategic direction of UBA
• Provide oversight and coordination of the Bank’s second and third line of defence.
• Build and lead an effective team by coaching and guiding direct and indirect reports.
• Assist the CEO and the Board in the execution of any other tasks as may be required to meet the
Bank’s objectives.

Risk Responsibilities:
•  Working with the CEO and the Board to set the credit, market, operational, regulatory
compliance, financial crime and conduct risk strategies and develop a clear risk appetite
statement, with supporting policies.
•  Provide relevant input into the development of the overall UBA UK business strategy.
•  Develop, review and implement a suitable risk framework and infrastructure with subsequent on-going maintenance and monitoring to ensure continued fitness for purpose.
•  Put in place a control framework to highlight risks and ensure the infrastructure is in place to
manage and mitigate them.
•  Maintenance and implementation of Risk framework/infrastructure, policies and guidelines
•  Develop suitable Risk policies and procedures, Risk limits, tolerance levels and approval authorities
and manage the resultant process.
•  Management of all aspects of the Risk function.
•  Assist with putting in place processes, tools and systems to ensure liquidity risks and capital adequacy are monitored at all times.
•  Assist in the development of and manage processes to identify and evaluate business areas’ risks
and risk and control self-assessments.
•  Define, produce and maintain Risk policies, procedures, processes & other documentation as
required and ensuring they are kept up to date and maintained in light of any developments.
•  Ensure a strong and proactive Risk management culture is embedded in the Bank at all levels,
instilling a culture of Risk awareness to encourage good risk management practices throughout
the organization.
•  Provide advice, insight and guidance on Risk practices to senior management, the board and all staff, acting as a “Subject Matter Expert” for Risk related queries.
•  Monitor major and critical Risk issues, track developments and escalate to senior management.
•  Lead the development and implementation of improved compliance and adherence to the
three lines of defence structure, through engagement and collaboration with the business, the shareholder and the Regulator(s).
•  Direct the development of recommendations to enhance internal compliance, assessing the
effectiveness of controls
•  Cross functional liaison with Internal Audit to ensure there is an integrated Risk and audit road map or framework to mitigate risks
•  Develop and deliver effective credit, market, operational, regulatory compliance, financial crime
and conduct risk reporting functionality to provide timely and accurate reporting on key risks for
UBA UK, escalating to senior management and providing mitigating actions to address these risks as they emerge.
•  Preparation and maintenance of regulatory governance documents – ICAAP and ILAAP – and, as
appropriate review relevant risk related regulatory returns.
•  Provide Risk commentary and analysis for Board Reports, the CEO and relevant business areas,
alongside robust and targeted Management Information for informed decision making.
•  Monitoring and coordinating activities of Risk team, supervising reviewing output of direct reports and developing appropriate performance measures for the team.
•  Agree team deliverables and accountabilities, holding regular performance reviews and taking remedial action where necessary.
•  Provision of Risk education and training to all staff supported by the risk policies, procedures and documentation in place.
•  Chairing the Executive Risk, ALCO, and New Products & Activities committees – reporting
and developing Risk MI to identify any potential issues for the Bank.

Experience required
• In-depth knowledge and experience of Risk function.
• Regulatory rules and legislation – FCA, PRA, Bank of England, UK Company’s Act, etc.
• Risk governance and management.

• Broad based banking experience, particularly in a UK-based, foreign owned institution.
• Experience of operating in and managing a Risk area in a financial institution with an emerging markets product focus.
• Proactive with excellent communication and influencing skills, particularly at Board level;
• Ability to anticipate issues, identify solutions quickly and provide clear guidance to the Board to enable it to manage risks and meet its governance obligations
• Analytical skills to assess data and interpret the potential impact on UBA UK.


• Degree educated – honours level or equivalent or a member of a relevant professional institute; and
• Relevant business experience.

Purpose of the role:

Reporting directly to the Head of Trade Finance, the Trade Finance Officer facilitates the management of the UBAUK Trade Finance business including: Letters of Credit (LC) processing (deal capture, acceptance, issuing, financing, discounting, confirming), advising clients, trade risk participations, and validating supporting documentation.

The role supports UBAUK to deliver the Business Plan and strategic objectives.

• Monitor the Trade Finance transaction lifecycle for LC’s and Guarantees end to end, escalating issues to the Head of Trade Finance to ensure effective provision of support to UBA Group and to local beneficiaries.
• Provide an excellent end to end customer experience and treat customers fairly in the achievement of UBAUK Trade Finance goals.
• Ensure business transactions processed with due regard to the following UBAUK policies/ International Standards:
o Compliance policy
o Risk policy
o Credit policy
o International Chamber of Commerce’s (ICC) rules including Uniform Customs and Practice for Documentary Credits (UCP).
• Monitor transaction processing to comply with these policies, agreed procedures and accepted standards and ensure timely mitigation of any identified risks and resolution of any issues.

Purpose of the role:
The purpose of this role is to support the Head of Legal and Company Secretary in delivering proactive and effective Legal and Company Secretarial services to the Bank, its Board, and their committees. The role is critical to supporting the Bank’s growing business needs and providing essential legal and corporate secretarial responsibilities timeously.

Specific responsibilities include:
• Board and committee support.
• Managing board and committee meeting processes – working with management to set agenda, briefing management teams on lead times for the delivery of board and committee papers; and ensuring the timely publication of high-quality materials to the Bank’s board portal.
• Attendance at and minuting certain board, committee and executive meetings
• Developing a close working relationship with Executives, boards, Chairs and committee members
• Tracking to completion actions arising from board and committee meetings.
• Maintaining board and committee records, including papers, minutes and other documentation.
• Governance policies drafting and review including maintenance of governance framework
• Statutory compliance – responsible for ensuring the maintenance of statutory records for the bank and for ensuring the timely submission of statutory filings.
• Supporting corporate transactions as and when required, including drafting board resolutions and supporting briefing materials for board members.
• Assisting in the production and approval of the Annual Report and Accounts.

• A solid grasp of the requirements of the Companies Act, PRA and FCA regulations
• A solid understanding of Corporate Governance best practice, and experience of applying this understanding pragmatically in support of boards and committees within financial services.

Purpose of the role:
Reporting directly to the Head of Credit Risk, the Credit Risk Analyst shall:
• Assess and process credit applications, for both new and existing clients;
• Be responsive and agile on credit risk assessments and processing;
• Provide quality credit analysis using sound and informed credit judgement;
• Use appropriate tools and standards to manage and mitigate credit risk;
• Ensure timely and accurate processing of credit applications and reviews;
• Maintain an environment focused on credit quality, service, accuracy and efficiency.

Specific responsibilities include:
• Undertake robust counterparty credit, country and corporate risk analysis, including: detailed credit research into countries, industries/sectors and counterparties using financial and non-financials sources;
• Assist with maintaining and monitoring reports for large exposure, counterparty financial institution, counterparty corporate and country risk profile;
• Highlight credit risks (including country and industry) timeously and provide recommendations to manage and mitigate these risks;
• Adhere to counterparty credit, country and industry exposure files and credit limits to the required standard and proactively manage the new and annual review process and cycle;
• Embrace a culture of risk awareness and good risk management practices;
• Assist the Head of Credit for all counterparty credit, country and industry risk matters and queries as appropriate;
• Maintain an awareness of political critical risk issues and escalate to the Head of Credit Risk timeously;
• Provide risk commentary, analysis and targeted management information for informed decision making.

Technical Experience:
– In depth knowledge and experience of Credit Risk function, particularly counterparty credit, country and industry risk;
– The ability to conduct financial analysis of corporate and financial institutional counterparties;
– Knowledge of trade finance, foreign exchange settlement limits, and fixed income bonds would be an advantage;
– A proven ability in credit risk identification;
– Experience of using Credit Risk Management systems/packages;
